Spoodies UK LTD – Wholesale Terms & Conditions & Dead on Arrival (DOA) Policy

These Terms and Conditions (“Terms”) govern all wholesale transactions between Spoodies UK LTD (“the Company”, “we”, “us”, “our”) and the purchasing party (“you”, “the Buyer”, “the Customer”) relating to the sale and supply of live spiders.

By placing a wholesale order with Spoodies UK LTD, you confirm that you have read, understood, and agreed to these Terms in full, including the Dead on Arrival (DOA) provisions.

1. Wholesale Order Composition

1.1 All wholesale orders are supplied as mix-and-match and/or unsexed spiders, unless explicitly agreed in writing prior to purchase.

1.2 Spiders supplied within a wholesale order will be of the same species and locality, unless otherwise agreed in writing.

1.3 No guarantees are provided regarding sex ratios.

1.4 Species availability, quantities, and combinations are subject to stock availability and breeding cycles.

2. Minimum Order Quantity (MOQ)

2.1 The minimum order quantity for wholesale pricing is 10 individual spiders per species/locality.

2.2 Orders below this quantity:

  • Will not qualify as wholesale

  • Will not receive wholesale pricing or wholesale protections

2.3 You may order more than the minimum per species/locality (e.g., 15 spiders of a specific locality), provided that the minimum of 10 per species/locality is met.

2.4 We reserve the right to refuse or cancel any order that does not meet the MOQ or otherwise comply with these Terms.

3. Age & Developmental Stage

3.1 Unless otherwise agreed in writing, spiders supplied will be approximately Instar 2 (I2) to Instar 3 (L3).

3.2 Developmental stages are approximate, and minor variation is expected.

3.3 Requests for alternative sizes or life stages must be agreed in writing prior to order confirmation.

4. Shipping, Handling & Transfer of Risk

4.1 All spiders are packed in appropriate live invertebrate containers with adequate ventilation, insulation, and protection.

4.2 Shipping is arranged via an agreed courier service, typically next-day or equivalent tracked delivery within the UK.

4.3 Shipping costs are the responsibility of the Buyer, unless otherwise agreed in writing.

4.4 Risk of loss or damage transfers to the Buyer immediately upon dispatch from our facility.

4.5 International Buyers are solely responsible for:

  • Permits

  • Customs clearance

  • Legal compliance in their jurisdiction

5. Dead on Arrival (DOA) Policy – Wholesale Only

5.1 Eligibility

  • Applies strictly to wholesale customers.

  • DOA coverage applies only to spiders L4 and above.

  • Slings are excluded due to their fragile nature.

  • By ordering slings, you acknowledge and accept that you do so entirely at your own risk.

5.2 DOA Reporting Requirements

  • Notification timeframe: You must notify Spoodies UK LTD within 1 hour of parcel acceptance or delivery.

  • Submission: Claims must be submitted exclusively via wholesale.spoodies.co.uk.

  • Claims submitted outside this timeframe, or without full supporting evidence, will be automatically rejected.

5.3 Mandatory Evidence

Unboxing Video (Required):

  • Continuous, unedited video from before opening the outer shipping box until the spider’s pot/tub/sling is fully visible.

  • The video must clearly show gentle tapping of the container to demonstrate no movement.

  • Edited, paused, cropped, unclear, or incomplete videos will not be accepted.

Photo Evidence (Required):

  • A clear, well-lit photograph of the specific container holding the deceased spider must be submitted alongside the video.

5.4 Delivery Conditions (DOA Invalidations)

The DOA policy is void if any of the following occur:

  • Failed, missed, delayed, refused, or rescheduled delivery attempts

  • Parcels not accepted on the first delivery attempt

  • Courier redelivery

  • Incorrect delivery information

  • Recipient-caused delays

  • Third-party handling after dispatch

5.5 DOA Resolution Options

For spiders confirmed as DOA and fully compliant with this policy, Spoodies UK LTD will offer one of the following:

  • A refund equal to the value of the deceased spider

  • A replacement spider of equal value (subject to availability)

  • Store credit equal to the value of the deceased spider

Important:

  • Shipping costs are non-refundable.

  • If a replacement is selected, all shipping costs must be paid by the Buyer.

5.6 Slings & Natural Loss Disclaimer

  • There is no guarantee that a sling will survive to maturity.

  • Natural losses are an inherent risk when purchasing slings.

  • No refunds, replacements, or credit are provided for slings beyond the DOA window.

  • Once the 1-hour reporting window has passed without a valid claim, all responsibility transfers to the Buyer.

6. Payment Terms

6.1 Full payment is required prior to dispatch, unless written credit terms have been agreed.

6.2 Accepted payment methods include Bank Transfer, PayPal (fees may apply), or other agreed methods.

6.3 Orders will not be dispatched until payment has cleared.

7. Cancellations, Refunds & Returns

7.1 All wholesale orders are final.

7.2 No cancellations, changes, or returns are accepted once payment is made.

7.3 Refunds will not be issued for losses covered or excluded under the DOA provisions.

7.4 In the event of an error on our part (e.g., incorrect species supplied or incorrect quantity is supplied):

  • Notification must be made within 24 hours of delivery

  • Photographic evidence is required

  • Resolution is at our sole discretion

8. Customer Responsibilities

By placing a wholesale order, you confirm that:

  • You are 18 years of age or older

  • You are purchasing for resale, breeding, or collection purposes

  • You possess the knowledge, experience, and facilities required to care for the species ordered

  • The species ordered are legal to own, import, and sell in your jurisdiction

  • You are responsible for all licensing, permits, and regulatory compliance

Spoodies UK LTD accepts no liability for seizures, delays, fines, or legal consequences arising from non-compliance in your jurisdiction.

9. Limitation of Liability

To the maximum extent permitted by law, Spoodies UK LTD shall not be liable for:

  • Loss of livestock during transit

  • Loss of profit, business, or opportunity

  • Indirect, incidental, or consequential losses

Any liability is strictly limited to the value of the deceased spider only, and only where negligence is proven.

10. Force Majeure

Spoodies UK LTD shall not be liable for any failure or delay caused by events beyond our reasonable control, including but not limited to:

  • Natural disasters

  • Pandemics

  • Industrial action

  • Customs delays

  • Courier disruptions

11. Governing Law

These Terms are governed by the laws of England and Wales, and all disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Agreement & Acceptance

By placing a wholesale order with Spoodies UK LTD, you confirm that you have read, understood, and agreed to these Wholesale Terms & Conditions and DOA Policy in full.
